Terms & Conditions

Introduction

Welcome to Spatialysed Solutions Ltd (“we,” “our,” or “us”). These terms and conditions govern the provision of geospatial consultancy services. By engaging our services, you agree to comply with and be bound by the following terms 

Definitions

  • "Client" refers to the individual or entity engaging our services. 

  • "Services" refer to the geo-spatial consultancy work, including but not limited to data analysis, mapping, reporting, and advisory provided by Spatialysed Solutions Ltd. 

  • "Deliverables" refer to all outputs provided to the client as part of the services. 

Scope of Services

  • Services to be provided will be detailed in a written agreement or proposal. 

  • Any additional services requested outside the original scope may incur additional charges. 

Fees & Payment

  • Fees for services will be outlined in the contract or proposal. 

  • Payments must be made in accordance with the agreed schedule. 

  • Late payments may be subject to additional charges, including interest at the statutory rate. 

Client Responsibilities

  • The client must provide all necessary information, data, and access to resources required for the project. 

  • The client is responsible for ensuring they have the appropriate permissions to use any data shared with us. 

  • The client must review deliverables promptly and notify us of any issues within 14 days of receipt. 

Intellectual Property Rights

  • Unless explicitly agreed otherwise, all intellectual property rights in the deliverables remain the property of Spatialysed Solutions Ltd. 

  • The client is granted a non-exclusive, non-transferable license to use the deliverables for their intended purpose. 

  • Any use of the deliverables beyond the agreed purpose requires prior written consent. 

Data Usage & Confidentiality

  • We will treat all client data and information as confidential and will not disclose it to third parties without prior consent, except as required by law. 

  • The client is responsible for ensuring the legality and accuracy of the data provided.

Limitations of Liability

  • Our services are provided on an "as-is" basis without warranties of any kind, express or implied. 

  • We are not liable for any direct, indirect, incidental, or consequential damages resulting from the use or misuse of our services or deliverables. 

  • The client assumes full responsibility for decisions made based on the deliverables.

Force Majeure

  • We are not liable for delays or failures to perform caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, or governmental actions.

Termination

  • Either party may terminate the agreement with 30 days' written notice. 

  • Fees for services provided up to the termination date remain payable.

Governing Law

  • These terms and conditions are governed by and construed in accordance with the laws of the United Kingdom. Disputes will be subject to the exclusive jurisdiction of the UK courts. 

Amendments

  • We reserve the right to amend these terms and conditions at any time. Clients will be notified of significant changes.
